Tapi API - Terms of Use

- Introduction
- To access the Tapi APIs you must be a Client and be party to an Agreement with us that grants you access to the Tapi APIs.
- By accessing and using the Tapi APIs, you also agree to be bound by these API Terms, and to use the Tapi APIs solely in accordance with these API Terms, the other terms of the Agreement and any other such terms as we may agree with you in writing. If you do not accept these API Terms and the Agreement, you must not access or use the Tapi APIs.
- You acknowledge and agree that you are responsible for ensuring compliance with these API terms by your Authorised Users. Any beach of these API Terms by your Authorised Users will be deemed a breach by you of the Agreement.
- To access the Tapi APIs you must be a Client and be party to an Agreement with us that grants you access to the Tapi APIs.
- Licence
- We grant you a non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Tapi APIs to enable your Client Application to use data and metrics that we make available to you via the Tapi APIs (API Data) for use in your custom dashboards and reporting tools, solely for your internal business purposes (and not for any commercial use or resale) (Approved Purpose), on and subject to these API Terms and the other terms of your Agreement.
- You agree and accept that your licence to access the Tapi APIs is subject to Tapi’s Fair Use Limitations and any other limits specified in your API Addendum or notified to you from time to time (Usage Limits).
- You acknowledge that the API Services may not always be available. The Tapi APIs will be the subject of repair, maintenance and upgrade in accordance with a maintenance schedule, but may also not always be available where unscheduled and/or emergency work is being carried out.
- We grant you a non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Tapi APIs to enable your Client Application to use data and metrics that we make available to you via the Tapi APIs (API Data) for use in your custom dashboards and reporting tools, solely for your internal business purposes (and not for any commercial use or resale) (Approved Purpose), on and subject to these API Terms and the other terms of your Agreement.
- Integration
- You agree that the integration of the Client Application with the Tapi API will comply in all respects with technical and other requirements specified by us (Client Application Requirements).
- You are solely responsible for the cost of any development and maintenance work required to integrate the Client Application with the Tapi API in accordance with the Agreement, and the costs (if any) to modify, alter or develop Client Application to:
- enable you to comply with the terms of an Agreement; and
- continue to inter-operate with the Tapi API following any enhancements, modifications, updates, improvements, replacements made by Tapi to the Tapi APIs (Modifications).
- Prior to:
- accessing (and enabling its Authorised Users) to access the Tapi API in a live production environment; or
- any material functionality or change to the Client Application (as approved by Tapi) being enabled in a live production environment, you must first provide us with an opportunity to review the Client Application (and its integration with the Tapi APIs) in the context of you rights and obligations under this Agreement.
- We may, from time to time throughout the Term, in our discretion and without liability to you, remove, add or modify features of the Tapi APIs or impose additional security requirements or restrictions in respect of the Tapi APIs.
- Tapi will provide the training and support in relation to the API Services as expressly agreed between the parties in writing.
- You agree that the integration of the Client Application with the Tapi API will comply in all respects with technical and other requirements specified by us (Client Application Requirements).
- Security
- You must establish, maintain and enforce security measures to ensure that:
- any Client Application used to access, integrate or communicate with the Tapi APIs complies with all Client Application Requirements;
- all API Data is protected by robust technical and operational measures that protect the privacy and security of the API Data, including as specified in the Client Application Requirements, the Agreement and as otherwise notified from time to time by Tapi;
- the Client Application does not contain any malware; and
- you do not introduce itself and will use all reasonable endeavours (including adopting good industry practice) to prevent the introduction by any third party of any malware into the Tapi Platform or environment.
- If you or any of your Authorised Users become aware that any malware has entered the Tapi Platform or environment or that any unauthorised person has obtained, attempted to obtain, or may obtain access to the Tapi APIs for purposes not authorised or permitted by the terms of this Agreement, you must:
- immediately notify us in writing (including providing full details known to you);
- take all reasonable steps as are available to it to eliminate, remove or block the malware so that it no longer affects the Tapi APIs or Tapi Platform, or to identify that unauthorised person and to comply with our directions; and
- make such changes to your operations (at its own cost) that are necessary to prevent, as far as is practicable, the continuation or occurrence of the same or similar breaches of security in the future.
- You must establish, maintain and enforce security measures to ensure that:
- Customer obligations
- You acknowledge and agree that you will:
- access and use the Tapi APIs solely for the Approved Purpose and in compliance with the terms of the Agreement (including the Fair Use Limitations and any Usage Limits);
- in your access to and use of the Tapi API, comply with all applicable laws and all user documentation, instructions, guidelines, procedures and policies notified by us from time to time (including as required to ensure the integrity and security of the Tapi API and the Tapi Platform); and
- keep all of your access information, including log-on credentials, secret and secure.
- You will not (and will ensure your Authorised Users do not):
- access or use the Tapi APIs other than for the Approved Purpose;
- use the Tapi APIs or any API Data for any inappropriate, fraudulent or discriminatory purposes or in a way that may breach any law or cause harm to any person or our reputation;
- use the Tapi APIs in a manner that may: (i) damage, disable, overburden or impair either the Tapi APIs or the Tapi Platform; or (ii) degrade or disrupt performance of the Tapi Platform for other users;
- use the Tapi APIs to support any system, software, application or platform that is not the Client Application;
- share the API Data with any third party other than for undertaking the Approved Purpose;
- modify, translate, reverse engineer, decompile, disassemble or create derivative works of the Tapi APIs or Tapi Platform (or any part of them) or otherwise attempt to: (i) defeat, avoid, by-pass, remove, deactivate or otherwise circumvent any software protection mechanisms in the Tapi APIs or the Tapi environment (including any mechanism used to restrict or control the functionality of the Tapi APIs or Tapi Platform); or (ii) derive the source code or the underlying ideas, algorithms, structure or organisation form of the Tapi APIs or Tapi Platform (or any part of them).
- You acknowledge and agree that you will:
- Our obligations
- Subject to your compliance with the Agreement, we agree to:
- enable you and your Authorised Users to access to Tapi APIs for the Approved Purpose;
- ensure that the Tapi APIs are generally accessible outside emergency and scheduled outages; and
- if we intend to make any Modification to the Tapi API that will have a material impact on Client Application, notify you in writing at least 10 days prior to the Modification being made, specifying the changes and the date for the changes to be made.

- We reserve the right (without liability to you) to:
- suspend access to the Tapi APIs or make it temporarily unavailable due to maintenance, system updates and/or upgrades, or any security concerns;
- impose restrictions and limitations on the number and frequency of calls made by the Client Application or suspend your access to the Tapi APIs where we determine that the Client Application is unreasonably placing too great a load on the Tapi API or you have exceeded the Fair Use Limitations or any Usage Limits during the relevant period; and/or
- suspend or deactivate your access and use of the Tapi APIs where we consider (acting reasonably) that there has been a breach or a likely potential breach of the Agreement by you or any of your Authorised Users),
but will endeavour to advise you in advance, where possible.
- We may track your use of Tapi APIs and the API Data to identify any use of the Tapi APIs and the API Data outside of the permitted uses set out in these Terms.
- Subject to your compliance with the Agreement, we agree to:

- You will pay us the Fees for your use of the Tapi APIs, as agreed in the API Addendum, in writing between the parties or as otherwise notified in writing by us.

- Ownership and intellectual property rights
- Without limiting any other term of the Agreement, you acknowledge and agreed that we own, or license from a third party, the Tapi APIs and the API Data and all other software and systems used by us and our licensors in connection with the Tapi APIs, including all related intellectual property rights. You will not sell, rent, lease, sublicense, redistribute, or syndicate access to any of the Tapi APIs or the API Data in any way whatsoever to any third party, or make or retain copies of the API Data, except as expressly permitted under these Terms or with our express written consent.
- Without limiting any other term of the Agreement, you acknowledge and agreed that we own, or license from a third party, the Tapi APIs and the API Data and all other software and systems used by us and our licensors in connection with the Tapi APIs, including all related intellectual property rights. You will not sell, rent, lease, sublicense, redistribute, or syndicate access to any of the Tapi APIs or the API Data in any way whatsoever to any third party, or make or retain copies of the API Data, except as expressly permitted under these Terms or with our express written consent.
- Exclusion of warranties
- The Tapi APIs are provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, security, or non-infringement. We do not warrant that the Tapi APIs will meet your requirements or expectations, that the Tapi APIs will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects in the Tapi APIs will be corrected.
- Despite any other term of this Agreement, TYP acknowledges and agrees that:
- You are solely responsible for evaluating the suitability of Tapi API for your intended purposes; and
- although we use commercially available anti-virus software in the provision of the Tapi APIs, we do not guarantee that the Tapi APIs will be free from viruses, trojan horses, worms, time bombs, or similar harmful programming routines.
- The Tapi APIs are provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, security, or non-infringement. We do not warrant that the Tapi APIs will meet your requirements or expectations, that the Tapi APIs will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects in the Tapi APIs will be corrected.
- Termination
- The parties may terminate the use of Tapi APIs in accordance with clause 10 of the Subscriber Terms.

- Defined Terms
Except as set out below (and as otherwise defined in these API terms), all capitalised terms used in these API Terms shall have the meanings given to them in the Subscriber Terms.
- Agreement means (a) the Terms of Engagement that you have executed; (b) the Subscriber Terms; (c) the Terms of Use (including the Privacy Policy); (d) these API Terms (as applicable) (e) the Data Processing Agreement (as applicable); (f) the API Addendum; and (g) any other terms agreed in writing by the parties from time to time in connection with the Services.
- API Terms means these terms and conditions for the Tapi APIs.
- Client means the person or entity who has subscribed for the API Services from us pursuant to an Agreement.
- Client Application means your software application (that has been approved by us in writing) to interact with the Tapi APIs and our Platform.
- Fair Use Limitation means that the use of the Tapi APIs must be fair, reasonable and not excessive as determined by Tapi (acting reasonably) and having regard to other users and by reference to availability of its resources and Usage Limits.
- Subscriber Terms means the subscriber terms set out at https://www.tapihq.com/subscriber-terms as updated from time to time.
- Tapi APIs means our application programming interfaces which we agree to make available to you (as specified in the API Addendum or as otherwise agreed in writing by us from time to time) which allows you to integrate the Client Application and undertake the Approved Purpose (and includes any programmatic web APIs, interface definitions, generated code libraries, data and files and associated tools and/or documentation).
- Agreement means (a) the Terms of Engagement that you have executed; (b) the Subscriber Terms; (c) the Terms of Use (including the Privacy Policy); (d) these API Terms (as applicable) (e) the Data Processing Agreement (as applicable); (f) the API Addendum; and (g) any other terms agreed in writing by the parties from time to time in connection with the Services.
